1. Introduction
These Terms of Service (“Terms”) govern access to and use of the COZMUS platform, products, services, software, APIs, and related infrastructure (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
COZMUS provides regulated financial infrastructure intended for business, institutional, and enterprise use only. The Services are not intended for personal, consumer, or retail use unless explicitly stated otherwise.
2. Scope of Services
COZMUS provides financial infrastructure services including, but not limited to, payment processing, money movement, currency exchange, settlement, virtual value management, and related compliance and reporting capabilities.
The availability of specific Services may vary based on jurisdiction, regulatory requirements, onboarding approval, and ongoing compliance obligations. COZMUS does not guarantee the availability of any specific service in all regions.
3. Eligibility and Account Responsibility
Access to the Services is limited to legally registered entities and authorized representatives acting on behalf of such entities. You represent and warrant that you have the authority to bind the entity you represent to these Terms.
You are responsible for maintaining the confidentiality of access credentials, API keys, and account information, and for all activities conducted through your account.
4. Compliance, Regulatory Obligations, and Acceptable Use
Use of the Services is subject to applicable laws, regulations, and industry standards, including but not limited to anti-money laundering (AML), know-your-customer (KYC), counter-terrorist financing, sanctions, and data protection regulations.
You agree not to use the Services for unlawful, fraudulent, deceptive, or prohibited activities, including activities involving restricted jurisdictions, sanctioned parties, or illegal goods or services.
5. Monitoring, Controls, and Enforcement
COZMUS reserves the right to monitor transactions, activity patterns, and usage of the Services to ensure compliance with legal, regulatory, and risk management requirements.
COZMUS may impose transaction limits, delays, reviews, or restrictions as required by law, regulatory guidance, or internal risk controls.
6. Fees and Commercial Terms
Fees for the Services are governed by separate commercial agreements, pricing schedules, or written arrangements between COZMUS and the customer. Unless otherwise agreed, all fees are non-refundable.
7. Intellectual Property
All software, technology, documentation, trademarks, and materials provided as part of the Services are the intellectual property of COZMUS or its licensors. No rights are granted except as expressly set out in these Terms or in a separate written agreement.
8. Confidentiality and Data Protection
Each party agrees to protect confidential information disclosed in connection with the Services and to use such information solely for permitted purposes.
Processing of personal data, where applicable, is subject to COZMUS’s Privacy Policy and applicable data protection laws.
9. Service Availability and Disclaimer
The Services are provided on an “as-is” and “as-available” basis. COZMUS does not warrant uninterrupted availability or error-free operation.
COZMUS disclaims all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, COZMUS shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to use of the Services.
COZMUS’s aggregate liability shall not exceed the fees paid to COZMUS for the applicable Services during the preceding twelve months, unless otherwise required by law.
11. Indemnification
You agree to indemnify and hold harmless COZMUS from claims, damages, liabilities, and expenses arising from your use of the Services, violation of these Terms, or breach of applicable laws or regulations.
12. Suspension and Termination
COZMUS may suspend or terminate access to the Services immediately if required by law, regulatory direction, or upon reasonable belief of prohibited or non-compliant activity.
Termination does not relieve you of obligations accrued prior to termination.
13. Changes to Terms
COZMUS may update these Terms from time to time. Updated Terms will be effective upon publication. Continued use of the Services constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by applicable laws as determined by COZMUS’s operating jurisdiction, without regard to conflict-of-law principles.
